Biography

Jason J. Pu, Esq.

Jason is an experienced business attorney who serves as outside general counsel and transactional attorney for private investors, entrepreneurs, start-ups and small and medium sized businesses. He has expertise in a broad range of business transactions including (1) entity formation and governance agreements and issues, (2) private equity investments, (3) commercial agreements, (4) real estate leases and lease re-negotiations, (5) real estate loans, work-outs, re-financings and acquisitions, (6) all forms of secured and unsecured debt transactions and work-outs, (7) loan syndications and participations, (8) copyright and trademark registrations, (9) intellectual property and technology licenses, (10) employee and contractor agreements and issues, (11) music industry agreements, and (12) digital and social media agreements.

Jason takes pride in serving his clients as a trusted business advisor, in addition to being an excellent drafter and negotiator. He regularly counsels clients on business development issues, furthering and maintaining business relationships, and deal formation and structuring issues. His business and analytical skills help clients solve problems, avoid pitfalls, minimize risks and get things done. In addition, as outside general counsel, he regularly advises clients and contributes to their success on everyday operating, business and legal issues.

Prior to starting his own law practice, Jason worked in the Palo Alto, CA office of the large law firm Cooley LLP. He served in Cooley's Credit Finance & Technology Receivables Group which is part of the firm's Business Department. While at Cooley, Jason obtained deal management and client counseling responsibilities and did work for dozens of public and private Internet, technology and bio-technology companies and the venture capital funds, banks and financial institutions that finance them. He gained experience in all forms of secured and unsecured debt finance transactions and significant exposure in mergers and acquisitions and technology and intellectual property-related issues and transactions. After moving to Los Angeles, Jason worked for a year at the small firm of Kehr, Schiff & Crane, LLP in West Los Angeles, CA. There, he worked with high-net worth individuals and privately-held businesses in corporate and commercial transactions, private equity investments, office and retail leases, employee and contractor agreements, joint ventures, asset sales and corporate re-structurings. He then left the practice of law to found and manage his own independent music company. After 4 years of entrepreneurial and business experience managing the company, he returned to practice law with Harrington Music Law Group, P.C. in Santa Monica, CA. There, where he worked with independent music labels and high-profile artists, songwriters, producers and managers in all forms of music-related agreements.
